BY-LAWS COMMITTEE

Charge:

The primary function of the By-Laws Committee is to review, analyze and recommend any proposed changes of the by-laws to the Executive Committee. They will revise By-Laws in accordance with legal requirements.

Structure and Processes:

  1. Membership: The By-Laws Committee is comprised of the AAA Past President in a one year term. The AAA President will appoint three additional members annually, each with a one year term.
  2. Meetings: Meetings will be held on an as-needed basis.

Responsibilities:

The By-Laws Committee will review the following: existing by-laws of the association including those from the Sections and Regions, previous committee reports and other important background material, and publication issues to determine if they meet the current needs of the American Accounting Association. The committee will recommend to the Executive Committee any revisions where conflicts exist or other changes are needed. They will analyze any proposed changes in the By-Laws coming from other sources and recommend to the Executive Committee changes in form or issues that are not anticipated by such proposals. The committee will provide a progress report to the Executive Committee liaison, President, and AAA Executive Director in time to be included in the agenda book for each Executive Committee meeting
