Overview

  • The Investment Committee is a standing committee of the American Accounting Association (AAA) and the American Accounting Association Foundation (AAAF). The committee is responsible for the AAA and AAAF investments, which shall collectively be called “the portfolios.” The purpose of the investment committee is to recommend and oversee the professional portfolio management firm. The members of the investment committee are fiduciaries of the AAA and the AAAF, with responsibility for overseeing investment policies, general policies, guidelines, investment performance and related risk management. Committee members will fulfill their duties solely on behalf of the organization’s mission.

Charge

  • The committee will determine its roles and responsibilities, charter, the process for how to choose an advisor, and initial timeline.

Membership

  • Membership shall consist of seven members: a Chair; two members; the current Vice President-Finance who will serve as Board Liaison and committee member; a past AAA President who is not currently serving on the Board of Directors - all of whom will be nominated by the Management Team; and two AAA Foundation representatives nominated by the AAA Foundation.
  • The CEO will serve as the nonvoting, ex-officio, Staff Liaison. 
  • The Committee will determine the length of service for its members.

Meetings

  • The committee shall meet at least twice annually and more frequently as necessary.
  • Minutes of the committee’s meeting will be recorded and provided to the AAA and AAAF boards for the official record.

Responsibilities

  • Fulfill the committee charge above.
  • If the Chair has any questions about the charge or responsibilities of this committee, s/he should contact the Chief Executive Officer, the President, or the committee's Board of Directors Liaison.
  • The Chair must submit at least one report per year to the Board of Directors. This report should include accomplishments and suggested modifications and should be sent to the AAA President, the committee’s Board of Directors Liaison, and Governance Manager, Barbara Gutierrez (barbara.gutierrez@aaahq.org).
